The Origin and Function of AAERs
Created in May 1982 by the SEC Division of Enforcement, AAERs package civil injunctive actions, administrative cease-and-desist proceedings, and Rule 102(e) auditor disciplinary orders into a single indexed series. Unlike general litigation releases that may involve insider trading or broker-dealer sales practices, AAERs are strictly reserved for accounting, financial disclosure, and internal control failures.
Key Sections of an AAER to Scrutinize
When examining an AAER, five components provide the core evidentiary facts: (1) The Caption, identifying the respondents, CIK numbers, and their specific roles; (2) The Summary, providing the total dollar magnitude of the misstatements and periods affected; (3) The Accounting Violations, detailing the specific GAAP rules bypassed; (4) The Statutory Charges, such as Section 10(b) fraud or Section 13(b)(2)(A) books and records violations; and (5) The Sanctions, including civil penalties, officer and director bars, and Rule 102(e) auditor practice suspensions.
Settlement Language: Neither Admit Nor Deny
The vast majority of SEC administrative actions are resolved on a settled basis, where respondents consent to the order without admitting or denying the Commission findings. In research and reporting, it is legally imperative to distinguish between allegations, settled findings, and adjudicated jury verdicts.
